These Terms of Service govern your use of the ProxmoxVEx software, this website (proxmoxvex.com), the ProxmoxVEx licensing service (licensing.proxmoxvex.com) and the hosted public demo. By installing, accessing or using ProxmoxVEx — or by purchasing a subscription or plugin — you agree to these terms. If you do not agree, do not use the software or services.
Scope
These terms apply to several distinct surfaces:
- The ProxmoxVEx software — use of the software itself is governed by the ProxmoxVEx Source-Available License v1.0 (or a separate commercial license agreement), summarized below.
- This website — the marketing and documentation site at proxmoxvex.com.
- The licensing service — the service that processes purchases, issues signed license keys and hosts the customer portal.
- The public demo — the hosted, shared demonstration environment.
Where a separate written agreement exists between you and the ProxmoxVEx team (for example, a commercial license or enterprise agreement), that agreement takes precedence over these terms for the subjects it covers.
License to the software
ProxmoxVEx is source-available software distributed under the ProxmoxVEx Source-Available License v1.0. It is not open source and is not distributed under an OSI-approved license.
- Source access — the source code remains viewable and auditable.
- Non-production use is free — personal evaluation, homelab, development, testing, security auditing and demonstration use require no paid license.
- Production use requires a commercial license — any use to operate infrastructure that delivers products or services to others, use by or on behalf of a business or revenue-generating activity, offering the software as a hosted or managed service, or use where downtime would interrupt business operations.
Feature tiers, seat counts, cluster limits, support terms and permitted deployment scope are defined by the commercial license under which the software is licensed to you. The full license text ships in the repository LICENSE file; earlier releases distributed under AGPL-3.0 remain governed by that license for the copies obtained under it.
Subscriptions, licenses and payments
Paid subscription tiers (Basic, Advanced, Corporate) and paid plugins are sold through the ProxmoxVEx licensing service. The free Community tier requires no purchase.
- Pricing and billing — prices, billing periods (monthly or yearly) and included features are shown on the pricing page at the time of purchase.
- Payment processing — payments are processed directly by our payment providers (PayPal, and Stripe where enabled). ProxmoxVEx never sees or stores your payment card or PayPal account details.
- License delivery — a signed license key is delivered to the email address provided at checkout. You are responsible for keeping that address reachable and your key confidential.
- Activations — each license permits a bounded number of node activations. You can view your license and manage or revoke activations yourself in the customer portal after verifying ownership by email.
- Transfers — subscriptions and license keys are non-transferable unless otherwise agreed in writing.
- Billing questions — contact us through the support page for renewal, cancellation, refund or invoice questions.
Acceptable use
You must not:
- Use the software or services in violation of applicable law or regulation.
- Distribute, sell, rent, lease or sublicense the software — or any modified version — to third parties for production use, except as expressly permitted by a commercial license agreement.
- Offer the software, or any derivative version, as a hosted or managed service to third parties without a commercial license covering that use.
- Remove, alter or obscure any copyright, license or proprietary notice included in or displayed by the software.
- Abuse the licensing service or the public demo — including attempts to bypass activation limits, probe or disrupt the services, or use them to attack third parties.
- Misrepresent your affiliation or use the ProxmoxVEx name or marks in a way that implies endorsement without permission.
Attribution
You must retain, and must not remove, hide, obscure, disable or alter, the “Powered by ProxmoxVEx” attribution and its accompanying legal notice that the software displays in its user interface — including the link to proxmoxvex.com — in every copy you run, convey or make available to users over a network, whether or not the software has been modified. Removing the attribution is a violation of the license and terminates your rights under it.
Contributions
If you submit code, documentation or other materials for inclusion in ProxmoxVEx, you grant the ProxmoxVEx team a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, relicense and distribute that contribution as part of the software under the Source-Available License, a commercial license, or other terms. You represent that you have the right to grant this license.
Third-party components
The software may bundle or depend on third-party components licensed under their own terms, including open-source licenses. Those components remain governed by their respective licenses; the ProxmoxVEx license applies only to the ProxmoxVEx software itself. See the NOTICE file and sbom.json distributed with the software for component notices.
The public demo
The hosted demo is a shared, non-production environment provided for evaluation.
- Do not enter real credentials, personal data or production cluster details into it.
- Demo data may be reset, modified or wiped at any time without notice.
- Availability of the demo is not guaranteed and is not covered by any subscription or support commitment.
Termination
Your rights under the Source-Available License terminate automatically if you breach its terms. On termination you must cease all use of the software and destroy all copies in your possession or control. We may also suspend or withdraw access to the public demo or licensing service for abuse. Provisions that by their nature should survive — including attribution on copies already conveyed, warranty disclaimers and liability limits — survive termination.
No warranty
ProxmoxVEx and the related services are provided “as is”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. The entire risk arising out of use or performance of the software remains with you.
Limitation of liability
To the maximum extent permitted by law, the ProxmoxVEx team and its contributors are not liable for any indirect, incidental, special, exemplary or consequential damages — including loss of data, loss of profits or business interruption — arising out of or in connection with the software, the services or these terms, however caused and on any theory of liability, even if advised of the possibility of such damages. Always maintain backups and test changes in a non-production environment.
Changes to these terms
We may update these terms as the project and services evolve. Material changes will be reflected on this page with an updated date; continued use after changes constitutes acceptance of the revised terms.
